1) Agreement to Terms

These Terms & Conditions ("Terms") govern your access to and use of Peachi's website, applications, APIs, and services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms and our Privacy Policy.

2) Eligibility

You must be at least 18 years old to use the Service.

3) Accounts & Security

Provide accurate information and keep your credentials secure.
You are responsible for all activities under your account.
Notify us immediately of unauthorized use: support@peachi.app.

4) Per‑Use Billing; Pricing; Taxes

Definition of "Use": a "use" is metered when a defined operation completes (e.g., an AI inference, message, or workflow run). Specific unit definitions and pricing are displayed in‑product and may change from time to time.
Charges: You authorize Peachi (via Stripe) to charge your payment method for all metered uses and applicable taxes/fees. We may place pre‑authorization holds and bill in arrears or in bundles.
Refunds: Except where required by law, all charges are final. If a material outage or error on our side caused a charge, contact us within 7 days and we'll review in good faith.
Disputes: Contact us before initiating a chargeback. Fraudulent or abusive chargebacks may result in account suspension.
Promotions: Free trials/credits are subject to additional terms and may expire.

5) Prohibited Uses

Illegal activity; infringement; violating third‑party terms or carrier rules (including Twilio A2P 10DLC requirements).
Attempts to extract or reconstruct model weights, training data, or system prompts; automated scraping that overloads the Service.
Submitting sensitive personal data without a lawful basis or required consent.
Spam, harassment, and content that is unlawful, harmful, or otherwise objectionable.

6) AI Outputs & Disclaimers

Outputs may be inaccurate, incomplete, or offensive. You are solely responsible for evaluating and using outputs. We do not provide legal, medical, financial, or other professional advice. The Service is provided "AS IS" and "AS AVAILABLE."

7) Third‑Party Services

The Service integrates with or depends on third‑party providers including Stripe (payments), Resend (email), Twilio (SMS; may be enabled later), Google Analytics and PostHog (analytics), OpenAI and OpenRouter (AI processing), and Vercel (hosting). Your use of those services may be subject to their separate terms and privacy policies. We are not responsible for third‑party performance or availability.

8) Ownership; License

Your Content: You retain rights in content you submit. You grant Peachi a worldwide, non‑exclusive license to host, process, transmit, and display your content to provide the Service and to improve it (subject to the Privacy Policy).
Peachi IP: The Service, software, and brand are owned by Peachi or its licensors. No rights are granted except as expressly stated.

9) Messaging Compliance (if enabled)

You must obtain valid consent for SMS recipients and honor opt‑out requests (STOP/UNSUBSCRIBE). You represent you have lawful authority to message each recipient.
You agree to comply with applicable laws and carrier rules (e.g., TCPA, CTIA, A2P 10DLC) and Twilio's policies.

10) Privacy; Data Protection

Your use of the Service is subject to our Privacy Policy. We implement commercially reasonable safeguards and maintain Data Processing Agreements with processors where required. Where applicable, we support user rights under GDPR and CCPA/CPRA as described in the Privacy Policy.

11) Service Changes; Suspension

We may modify, suspend, or discontinue the Service (in whole or part) with or without notice. We may suspend or terminate accounts that violate these Terms or pose security, legal, or operational risk.

12) Warranties; Limitation of Liability

EXCEPT AS REQUIRED BY LAW, THE SERVICE IS PROVIDED "AS IS". TO THE MAXIMUM EXTENT PERMITTED, PEACHI AND ITS SUPPLIERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; AND IN ALL CASES OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) USD $100.

13) Indemnity

You will indemnify and hold harmless Peachi and its affiliates from claims arising out of your content, your use of the Service, or your violation of these Terms or law.

14) Governing Law; Venue

These Terms are governed by the laws of the State of New York, USA, without regard to conflicts of laws rules. Exclusive jurisdiction and venue lie in the state and federal courts located in New York County, New York.

15) Changes to Terms

We may update these Terms from time to time. Changes are effective when posted. If you continue to use the Service after changes, you accept the revised Terms.
